Florida Protected Series LLC Law Effective July 2026: Powerful New Asset Protection

Florida individuals and organizations now have access to a new business structure that can significantly improve liability protection and operational flexibility. Governor Ron DeSantis signed CS/SB 316 into law on June 20, 2025, adding the Uniform Protected Series Provisions to the Florida Revised Limited Liability Company Act (Chapter 605, Florida Statutes). These provisions take effect on July 1, 2026, and are codified in new sections 605.2101 through 605.2802.

At Heitner Legal, we regularly assist clients with business formation, intellectual property strategy, sports contracts, entertainment agreements, gaming regulations, and related matters across Florida. This new Protected Series LLC framework directly strengthens the structures we build for NIL athletes, musicians, streamers, gaming companies, and many others seeking to isolate assets and risks.

Under the updated law, a Florida limited liability company may establish one or more protected series by filing a protected series designation with the Florida Department of State. Each series can have its own members, managers, assets, liabilities, and business purposes. The debts and obligations of one series remain shielded from the other series and from the parent LLC itself, provided proper formation, recordkeeping, and operational formalities are followed. Foreign series LLCs operating in Florida are also expressly recognized.

This structure is particularly valuable in our practice areas. A collegiate athlete can place NIL endorsement income and sponsorship contracts in one series while holding trademarks and digital content rights in another. An entertainer or music producer can separate touring operations from streaming royalties and merchandise lines. Gaming and esports companies can isolate individual game titles, sponsorship deals, or virtual asset portfolios to limit exposure across ventures.

We are already incorporating Protected Series LLC planning into our business formation work. Proper documentation of associated assets and liabilities for each series is essential to maintain the liability shield. We draft customized operating agreements, filing documents, and compliance protocols to ensure clients meet these requirements from day one.

Existing LLCs may convert or designate series once the law is in force, while new entities can be structured with this flexibility in mind. Combining a Protected Series LLC with strategic trademark and copyright registrations further solidifies brand protection in Florida’s competitive sports, entertainment, and gaming markets.

Heitner Legal stands ready to guide you through every step of forming and operating a Protected Series LLC tailored to your specific needs. Whether you are an athlete monetizing NIL opportunities, an entertainer building a multifaceted brand, or a gaming entrepreneur scaling multiple projects, our team delivers precise, efficient solutions that protect what you have built.
